About The Role

We're looking for a talented and passionate person to join Wildlife's Legal Team as Counsel. We're looking for someone motivated, detail-oriented, and with solid experience in Corporate Law and Contracts to act as a strategic business partner, in a role with a predominantly international scope, including entities based in the United States, Brazil, Canada and Finland. The position offers autonomy to own processes end-to-end and direct contact with senior leadership on strategic company matters. We know that the work we do has a high impact on our company's success and culture. The right person for this position is curious by nature, comfortable in an autonomous, take-the-initiative environment, loves solving problems, and can juggle multiple demands at once.

What You'll Do

  1. Provide legal opinion in relation to the Corporate Area
  2. Provide legal support to all Wildlife entities, in Brazil and abroad
  3. Structure and apply corporate governance rules for the group’s entities
  4. Draft and coordinate board resolutions and board meeting materials
  5. Handle the entities' annual corporate compliance obligations, in Brazil and abroad
  6. Coordinate with external law firms across different jurisdictions
  7. Review and negotiate contracts (NDAs, vendor, licensing, service provider, real estate, insurance agreements, intercompany agreements, financial agreements, etc)
  8. Manage the Company’s contract management system and related platforms
  9. Manage and support the stock option plan: grants, exercises, repurchases, consulting, etc, and provide legal advice with respect to equity-related matters
  10. Manage the cap table and the shareholder register
  11. Support audits and KYC/AML reviews
  12. Work closely with many different areas of the Company, such as Finance, Tax, Controllership, Facilities, Engineering, Live Games
  13. Build playbooks and automation initiatives applied to the Company
  14. Structure, prepare and review managerial reports and documents
  15. What You'll Need
  16. Solid experience in Corporate Law and contracts
  17. Prior experience with stock option plans
  18. Law degree and active Brazilian Bar (OAB) membership
  19. Working proficiency in English, to independently handle international documents and meetings
  20. Autonomous, organized profile, comfortable managing multiple projects simultaneously
  21. Clear and transparent communication, keeping the team updated on work status
  22. Team builder
  23. Be a business partner and business oriented
  24. Strong social skills
  25. Experience with M&A transactions (a plus)
  26. Experience with foreign entities and international jurisdictions (a plus)
  27. Background at startups, tech companies, or law firms with a venture capital practice (a plus)
  28. LLM in Corporate Law (a plus)
